Terms of Service

These Terms of Service ("Terms") govern your access to and use of Structed.ai's websites, landing pages, subdomains, application interfaces, accounts, trials, subscriptions, AI interview workflows, generated briefs, downloadable materials, and related services made available by STRUCTED AI LTD ("Structed.ai", "we", "us", or "our").

These Terms are designed to serve as the main public terms document for Structed.ai, including the main website, future campaign pages, and the app, so that new sites for the same product can generally link to the same Terms instead of requiring separate public versions.

By using Structed.ai, creating an account, starting a trial, purchasing a subscription, or otherwise accessing our services, you agree to these Terms.

If you do not agree, do not use the services.

2. What these Terms apply to

These Terms apply to:

• structed.ai and related product or marketing domains;

• future Structed.ai landing pages and campaign sites that link to these Terms;

• app.structed.ai and any successor product subdomain;

• account creation, login, onboarding, and support;

• free trials, paid plans, and subscription use;

• AI-powered discovery interviews, transcripts, summaries, and brief generation;

• downloadable resources, demos, and related communications.

3. Eligibility

You may use Structed.ai only if:

• you are at least 18 years old or the age of legal majority in your jurisdiction;

• you can form a binding agreement;

• you use the services on behalf of yourself or a valid business, organization, or client;

• you have authority to bind that business or organization if you accept these Terms on its behalf.

Structed.ai is intended solely for business and professional use. By creating an account or purchasing a subscription, you confirm that you are acting in the course of a business, trade, profession, or commercial activity, and not as a consumer.

4. Accounts

To use some features, you may need to create an account.

You agree to:

• provide accurate and current information;

• keep login credentials confidential;

• restrict unauthorized access to your account;

• notify us promptly of suspected unauthorized use.

You are responsible for activities that occur under your account, except to the extent caused by our own failure to maintain reasonable security.

5. Trials, plans, and subscriptions

Structed.ai may offer:

• free access;

• free trials;

• paid monthly or annual subscriptions;

• beta or early-access features;

• enterprise or custom plans.

Features, usage limits, pricing, and plan structure may vary over time.

Current pricing and plan details may be shown on our site, checkout page, or order flow.

Changes to subscription pricing will not affect fees already paid for the current billing period. We will provide reasonable notice before a new price applies to a future renewal.

6. Payments and billing

If you purchase a paid plan, you agree to provide accurate billing and payment information.

You authorize us and our payment processors to charge:

• subscription fees;

• applicable taxes;

• renewal charges;

• usage-based fees if such pricing is introduced later and clearly disclosed.

If payment fails, we may:

• retry billing;

• suspend access to paid features;

• downgrade the account;

• cancel the subscription after reasonable notice where appropriate.

Payments may be processed by third-party providers such as Stripe or another payment partner.

We do not necessarily store full payment card information ourselves.

7. Auto-renewal, cancellation, and refunds

Unless otherwise stated at the point of purchase, subscriptions may renew automatically at the end of the applicable billing period.

If a free or discounted trial converts automatically into a paid subscription, the applicable price, billing frequency, date of the first charge, and cancellation method will be clearly shown before the trial begins.

You may cancel renewal through:

• your account settings, Stripe settings, if available; or

• contacting us at marina@structed.ai

Cancellation generally stops future renewal charges but does not automatically create a refund for the current billing period unless:

• the law requires it; or

• we explicitly state otherwise in writing.

Any auto-renewal, billing cadence, trial-conversion terms, cancellation mechanics, or refund rules shown at checkout, in an order flow, or in plan-specific terms that apply to your purchase will form part of your purchase terms and will govern to the extent of any direct inconsistency.

8. Acceptable use

You may use Structed.ai only for lawful purposes and in accordance with these Terms.

You must not:

• use the services in violation of applicable law;

• upload, submit, or process content you do not have the right to use;

• misuse the services to deceive, harass, defame, exploit, or harm others;

• interfere with platform security, availability, or performance;

• attempt to reverse engineer, copy, scrape, or extract the service in an abusive or unauthorized way;

• use automated means to access the services at harmful scale unless explicitly allowed;

• upload malware, malicious code, or harmful instructions;

• use the services to generate unlawful, fraudulent, discriminatory, or infringing outputs;

• circumvent plan limits, permissions, or technical safeguards;

• use Structed.ai in a way that could expose us or others to regulatory, sanctions, or export-control violations.

9. Customer responsibility for project and client data

If you use Structed.ai in connection with your own clients, leads, respondents, or project stakeholders, you are responsible for:

• having the right to submit their data into the platform;

• ensuring your own notices, permissions, and client-side disclosures are appropriate;

• deciding which information should or should not be shared with the service;

• reviewing outputs before using them in a real project;

• making final professional, commercial, legal, and strategic decisions yourself.

You must not submit information that you know you are not authorized to share.

10. AI features and generated outputs

Where available as part of the services, Structed.ai may use AI systems to:

• analyze raw project context;

• ask follow-up questions;

• run or support interviews;

• generate transcripts, summaries, and structured briefs;

• suggest framing, missing information, or workflow outputs.

AI outputs:

• may be incomplete, inaccurate, or imperfect;

• may require human review and editing;

• should not be treated as guaranteed legal, financial, medical, or regulated professional advice.

You remain responsible for:

• checking outputs;

• deciding whether they are fit for your purpose;

• validating critical facts, claims, or decisions before relying on them.

Specific AI-related behavior may vary by feature, deployment, or third-party provider configuration.

11. Beta features and experimental functionality

We may from time to time offer:

• beta features;

• pilot features;

• early access functionality;

• experimental AI capabilities.

These may:

• change more frequently;

• be incomplete;

• be subject to additional limits;

• be withdrawn at any time.

12. Third-party services and integrations

Structed.ai may link to or work with third-party services, including:

• payment processors;

• analytics providers;

• email tools;

• hosting providers;

• AI or transcription providers;

• integrations chosen by the user.

We are not responsible for third-party products, terms, privacy practices, or availability.

Your use of third-party services is governed by their own terms and policies.

13. Intellectual property

Structed.ai and all related content, software, branding, designs, workflows, interfaces, and materials are owned by or licensed to us and protected by applicable intellectual property laws.

Except for the limited right to use the services under these Terms, no rights are transferred to you.

You may not:

• copy or resell the service itself;

• remove proprietary notices;

• create derivative services from our platform except where permitted by law or by written permission.

Structed.ai and related names, logos, and marks are our property or are used with permission.

14. Your content

You retain rights in content that you lawfully submit to Structed.ai.

However, you grant us the rights reasonably necessary to:

• host, process, transmit, and display that content;

• operate the product;

• generate outputs you request;

• secure, maintain, troubleshoot, and improve the service;

• comply with law and enforce our rights.

These rights are limited to what is reasonably necessary to run the service and related business operations.

15. Feedback

If you send us feedback, ideas, bug reports, or suggestions, you allow us to use them without obligation or compensation to you, unless we separately agree otherwise in writing.

16. Privacy

Your use of Structed.ai is also governed by:

If you use Structed.ai in relation to your own clients or respondents, you may also need your own privacy and contractual documentation.

17. Availability and changes

We may improve, modify, suspend, or discontinue any part of Structed.ai at any time.

We do not guarantee that:

• the services will always be available;

• every feature will continue unchanged forever;

• the services will be error-free or uninterrupted.

We may also set or change:

• usage limits;

• storage limits;

• plan features;

• technical requirements;

• security requirements.

18. Suspension and termination

We may suspend or terminate access if:

• you breach these Terms;

• payment fails and remains unresolved;

• your use creates security, legal, abuse, or operational risk;

• we are required to do so by law;

• continuing to provide access would expose us or others to harm.

You may stop using the services at any time.

Sections that by their nature should survive termination will continue to apply, including sections relating to payment obligations already incurred, intellectual property, disclaimers, liability, disputes, and other post-termination rights.

19. Disclaimer of warranties

To the maximum extent permitted by law, Structed.ai is provided "as is" and "as available".

We disclaim all warranties, whether express or implied, including implied warranties of:

• merchantability;

• fitness for a particular purpose;

• non-infringement;

• availability;

• accuracy;

• reliability of outputs.

20. Limitation of liability

To the maximum extent permitted by law, Structed.ai and its affiliates, officers, employees, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to the services, including loss of profits, revenue, goodwill, data, clients, or business opportunity.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the services will not exceed:

• the total amount you paid us in the 12 months before the event giving rise to the claim; or

• $100,

whichever is greater.

20A. Non-excludable liability

Nothing in these Terms excludes or limits our liability for:

• death or personal injury caused by our negligence;

• fraud or fraudulent misrepresentation; or

• any other liability that cannot be excluded or limited under applicable law.

21. Indemnity

You agree to defend, indemnify, and hold harmless Structed.ai and its affiliates, officers, employees, contractors, and representatives from claims, liabilities, damages, losses, and expenses arising out of:

• your misuse of the services;

• your breach of these Terms;

• your violation of applicable law;

• your infringement of another person's rights;

• your submission or use of data you were not authorized to provide.

22. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules.

The courts of England and Wales will have exclusive jurisdiction over disputes arising out of or related to these Terms, unless applicable law requires otherwise.

On termination or expiry, your right to access the services will end. You remain responsible for fees incurred before termination. Customer Content will be retained or deleted in accordance with our Privacy Policy and Data Processing Agreement. Where technically available, you should export any content you wish to keep before your access ends.

23. Changes to these Terms

We may update these Terms from time to time.

If we do, we will update the "Last updated" date above and may provide additional notice where appropriate.

Your continued use of the services after updated Terms become effective means you accept the revised Terms.
